SERVICE AGREEMENT

This Service Agreement ("Agreement") is between ShipTODR.com ("ShipTODR.com" or "Carrier") and the Shipper, defined as any individual or entity requesting ShipTODR.com’s services, including consignors, consignees, and owners of goods ("Goods") that are the subject of services performed by ShipTODR.com. The Shipper agrees to abide by all terms and conditions in this Agreement.


1. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Province of Ontario, Canada, for all activities conducted within Ontario, including handling, storage, and preparation for export. For all matters involving international transit and delivery within the Dominican Republic and shipments from the Dominican Republic to Canada, this Agreement is subject to applicable international trade and customs laws, as well as Dominican Republic and Canadian import regulations. Any disputes arising from this Agreement shall be resolved in the exclusive jurisdiction of the courts of Ontario, Canada.


2. Scope of Services

A. Standard Freight Forwarding Services

ShipTODR.com agrees to use reasonable care to receive, consolidate, and arrange for the transport and delivery of Goods. ShipTODR.com will notify the person requesting transport once Goods are delivered. ShipTODR.com is not responsible for customs clearance; the receiver is solely responsible for handling customs procedures, obtaining necessary permits, and paying all associated fees. ShipTODR.com may subcontract to any carrier or service provider whose terms align with the trade and transport mode. ShipTODR.com includes a margin for its services above the Carrier’s and service provider’s charges and expenses. ShipTODR.com will make reasonable efforts to follow specific instructions from the Shipper within ShipTODR.com’s service range. However, ShipTODR.com reserves the right to deviate from instructions due to unforeseen events without incurring additional liability.

B. Dominican Republic to Canada Shipping Process

  • Customers in the Dominican Republic will create an order for pickup on ShipTODR.com’s website.
  • ShipTODR.com will pick up the Goods from the customer’s home and transport them to its consolidation facility.
  • The Goods will be loaded into a container and shipped to Canada.
  • Upon arrival in Canada, the Goods will be held in a bonded warehouse until the customer clears customs. Goods must be cleared within three (3) days of ShipTODR.com notifying the receiver, or they may be subject to disposal, seizure, or additional storage fees.
  • The customer is responsible for handling customs clearance. If the receiver fails to pick up the Goods or complete customs clearance within the required timeframe, the Shipper will be held responsible for any additional charges, including storage fees, return shipping, or disposal costs.
  • Once cleared, the customer may either:
    • Pick up their Goods from the bonded warehouse.
    • Authorize ShipTODR.com to pick up and deliver the Goods on their behalf for an additional service fee.

3. Responsibilities of ShipTODR.com

ShipTODR.com agrees to use reasonable care in selecting Carriers and service providers and to perform services within a reasonable time after receiving Goods. ShipTODR.com's responsibilities, rights, and defenses are subject to applicable laws and the Carrier’s terms of carriage. For Goods lost or damaged, ShipTODR.com's liability is limited to the lesser of $4.41 per kilogram or $500 per package.

ShipTODR.com assumes no responsibility for indirect or consequential damages, including delays, loss of use, or loss of profits.


4. Shipper's Responsibilities

The Shipper agrees to:

  • Provide complete and accurate addresses, access information, and all required documentation for transport and import.
  • Accurately state the type and weight of Goods.
  • Prepare, package, and label Goods properly for transport, including using clean, pest-free materials.
  • Warn ShipTODR.com of special handling requirements or any unusual features of the Goods.
  • Ensure compliance with all Dominican Republic export and Canadian import laws, including obtaining a commercial invoice with a packing slip, export and import permits, and adherence to prohibited items regulations.
  • Pay all transport charges, including customs duties and import fees, and take delivery of Goods at the destination.
  • Clear the Goods from the bonded warehouse in Canada in a timely manner.
  • If authorizing ShipTODR.com to pick up and deliver the Goods after customs clearance, provide written authorization and cover any applicable service fees.

If the Shipper fails to take delivery of Goods or if Goods are improperly prepared or documented, ShipTODR.com reserves the right to refuse the shipment, return it at the Shipper’s expense, or abandon or auction the Goods to recover any outstanding charges.


5. Customs Compliance and Liability

The Shipper is fully responsible for ensuring compliance with Dominican Republic and Canadian customs regulations and will bear all costs, including penalties, fines, and related charges due to prohibited or improperly declared items.

ShipTODR.com will notify the Shipper within three (3) business days of becoming aware of any customs holds, inspections, or other customs-related issues impacting the shipment. However, ShipTODR.com is not responsible for any customs clearance processes, duties, or regulatory compliance; this is the sole responsibility of the receiver. Any additional fees, including but not limited to storage or inspection costs arising from customs holds or inspections, will be billed to the Shipper.


6. Storage and Handling in Bonded Warehouses

  • Goods arriving in Canada will be held in a bonded warehouse until customs clearance is completed. Once customs clearance is completed, the receiver must pick up the Goods within three (3) days to avoid additional storage charges. If the receiver does not clear customs within the CBSA-specified timeframe, the Shipper remains responsible for any associated storage, disposal, or return costs.
  • If the receiver does not clear the Goods within the required timeframe, additional storage charges will apply, and the Shipper will be responsible for covering these costs.
  • ShipTODR.com is not responsible for delays caused by customs or the bonded warehouse.
  • The Shipper may authorize ShipTODR.com to pick up the Goods after clearance and arrange delivery, subject to additional fees.

7. Payment Terms

The Shipper agrees to make full payment for shipping services prior to loading in the container in the Dominican Republic, and acknowledges that all payments are final and non-refundable, except where required by law. Additionally, any further fees, including storage, handling, or customs-related charges, must be paid within 15 days of receiving an invoice from ShipTODR.com.


8. General Compliance Clause

The Shipper agrees to comply with all applicable laws, regulations, and international trade standards not specifically mentioned in this Agreement, including any changes in legal requirements or restrictions that may arise during the term of this Agreement.


9. Time Bar for Claims

Any legal proceedings against ShipTODR.com must be initiated within nine (9) months from the date the Goods were received for transport.


By using ShipTODR.com's services, the Shipper agrees to abide by the terms set forth in this Agreement.
